In this session, Frank Hinoporos will outline some key tax and legal ‘fitness’ issues when selling, or buying, a financial services business, including:

  • Key capital gains tax considerations;
  • Dealing with earn-out and other deferred consideration arrangements;
  • Tax risk governance and management, including key ATO focus areas.
Regulatory update – what to do if ASIC comes knocking

In this session, Philip Hopley and Jacob Uljans will provide a summary reminder of the obligations that AFS licensees and representatives have to identify and lodge reportable situation reports, and then move on to explain how they can best manage and respond to any inquiries and investigations by ASIC that involve them.

Unfair Contract terms primary – covering both the insurance/financial services context and the general commercial context

This session will focus on the application of the unfair contract terms regime to insurance contracts and general commercial contracts. With contraventions of the unfair contract terms prohibitions now subject to penalties, organisations at all levels are closely considering the terms of their of standard form contracts.

Philip Hopley and Suzie Leask, will summarise the legislative regime and provide an update on the most recent guidance from the ACCC, ASIC and the courts in this area.
