Kristy’s expertise encompasses establishing and structuring funds, fundraising, disclosure issues and ongoing operations, as well as commercial/corporate transactions spanning capital raisings, mergers and acquisitions, contract review and negotiation, and corporate governance. Experience

Some key transactions Kristy has recently been involved in include:

  • A lead adviser to One Managed Investment Funds as responsible entity and Gryphon Capital Investments as investment manager on establishing and registering the Gryphon Capital Income Trust and subsequent $175 million initial public offering on the ASX (ASX:GCI), plus advising on the Trust's secondary capital raisings via private placements, entitlement offers, and interest purchase plans to raise a further $495 million, comprising approximately $670 million in capital raisings since inception.
  • Advising Venlo Holdings on the sale of outdoor adventure brand TRED Outdoors to Clarus Corporation (NASDAQ:CLAR), the owner of MAXTRAX.
  • Advising award-winning financial advice firm Invest Blue on all aspects of its $660 million scrip-for-scrip merger with Ironbark Asset Management, resulting in a merged entity with $64 billion in funds under management.
  • Advising Invest Blue on its aggregation strategy involving the acquisition of various financial planning firms.
  • Advising Kilter Investments on the scrip-for-scrip merger of the stapled Australian Farmlands Funds and the Kilter Agriculture Fund.
  • Advising Fortitude Investment Partners, a private equity firm that invests $10 million to $30 million into Australian and New Zealand companies, to establish various unregistered funds.
  • Advising on structuring and establishing the funds management business for Australian Secure Capital Fund (ASCF), including obtaining an AFS licence, establishing, registering, and offering investment in three retail managed investment schemes that offer investment in pooled mortgages and fixed investment terms and returns, and providing ongoing regulatory advice on ASCF’s financial services business and its funds.
  • Advising Kilter Investments, the trustee of Murray-Darling Basin Balanced Water Fund, which is an innovative social impact fund established and sponsored by US-based The Nature Conservancy.
  • Advising The Motley Fool on establishing the Lakehouse Small Companies Fund, including the constitution, investment management agreement, and PDS.
