Hall & Wilcox advises Maggie Beer Holdings on sale of St David Dairy
Hall & Wilcox has advised Maggie Beer Holdings (ASX: MBH) on the sale of St David Dairy to Goulbourn Valley Creamery. The dairy asset divestment is in line with Maggie Beer Holdings’ recent strategic decision to focus on its core growth assets – Maggie Beer Products and also Hampers & Gifts Australia, which it acquired last year with the assistance of the Hall & Wilcox team.
Hall & Wilcox advised on all legal aspects of the transaction. Partner James Morvell and Special Counsel Vanessa Murphy led the Hall & Wilcox team, with lawyers Michael Henderson and Aron Mazur supporting.
Vanessa Murphy said, ‘It was great to work with the Maggie Beer team again on its strategic divestment of this Melbourne-based dairy business, aligned with its strategy to focus on its core assets following the Hampers & Gifts acquisition last year.’
Maggie Beer Holdings Chairman Reg Weine said, ‘It’s always a pleasure working with the Hall & Wilcox team who provide wise counsel and consistently add value.’
Maggie Beer Holdings Director and CEO Chantale Millard said, ‘St David Dairy is an iconic Melbourne brand and we are very pleased that we have been able to complete the sale, with all staff remaining with its new owners, meaning a seamless transition for our teams, customers and suppliers’.
Hall & Wilcox also advised on Maggie Beer Holdings’ earlier acquisition of Hampers & Gifts Australia in July 2021. The firm provided guidance on all aspects of the acquisition as well as on the associated $30 million capital raising transaction.
