This transaction involves the replacement of the Department’s legacy telecommunications technology (ASDL / 4G) at critical traffic lights and intersections across the state, improving network functionality and resilience. Our team has advised the Department on procurement structuring, risk and liability issues, and contract negotiation, along with having prepared the suite of procurement contracts.
- Acting for ASX-listed REA Group, owner of realestate.com.au, in their A$15 million acquisition of 1Form Online Pty Ltd, operator of market leading rental application service 1Form.com.
- Assisting a major Australian electricity and gas network operator to engage a global technology provider on a major artificial intelligence project involving the development of artificial intelligence solutions specific to our client’s business. This was a highly significant project for the client as it involved the management of high risk, heavily regulated electricity and gas assets and also represented a significant investment and strategic priority for the client. We advised on the negotiation strategy, led legal negotiations with the global technology provider and advised on contracting and regulatory risks regarding this significant project.
- Assisting a global provider of payment processing and information management services with a whistleblower complaint made by Australian-based employees regarding the conduct of an overseas based manager. We conducted the investigation into the anonymous complaint under client legal privilege. We prepared a detailed investigation report with our findings of the investigation, together with recommendations regarding steps the business might wish to take to address the issues raised by the whistleblowers in their complaint and throughout the investigation.
- Acting for a multinational publicly listed financial services company, in relation to a major data breach discovered that may have impacted over 40,000 customers. We directed a forensic investigation, assisted with remedial action and advised on regulatory obligations including with the OAIC, ASIC, ASX and APRA. Our client successfully remediated the incident, avoided significant reputational damage and minimised costs incurred.
- Advising sports video game maker Big Ant Studios on its €35 million acquisition by French-based company Nacon SA.
- Advising fintech business Adatree on the sale of 100% of its shares to Fat Zebra, a leading Australian payments gateway business that has built an app which allows businesses to accept card payments and manage their businesses online.
