Hall & Wilcox has advised the Dennis Family Group on the sale of the Dennis Family Homes business to Simonds Group Limited (ASX: SIO).
Dennis Family Homes is a leading Australian volume home builder. The Dennis Family Group made the strategic decision to sell its residential housing construction business to focus on its land, retail and commercial development business.
Simonds Homes, formed in 1949, is one of Australia’s largest homebuilders.
The Hall & Wilcox cross-practice team advised on all legal aspects of the deal including M&A, commercial contracts, real estate, IT, IP, employment, construction and insurance.
The team was led by Partner Nicole Tumiati and included Partners Tony Macvean, Emily Kyriacou, David Catanese, James Deady, John O’Kane, Mark Inston and Philip Hopley, together with Special Counsel Conrad Smith, Lawyer Anne Utecht and others.
Partner Nicole Tumiati said ‘We’re pleased to have assisted our long-time and valued client Dennis Family Group with this significant transaction. Successfully extricating the Dennis Family Homes’ business from the wider Dennis Family Group required careful structuring and co-ordination, and consideration of various complex legal, accounting, tax and commercial issues. It has been a pleasure working alongside the outstanding team at the Dennis Family Group, together with their other advisors including Grant Samuel, Pitcher Partners and KPMG.’
Bill Stevens, Dennis Family Group Chairman, said ‘The Dennis family decided that the prospective focus of the business will be on its land, retail and commercial activity, which led to the sale of Dennis Family Homes. We thank the Hall & Wilcox team for their tremendous support, bringing together multiple service lines to address the complexities of the transaction.’
