Hall & Wilcox has advised leading international medical technology consultancy PharmaLex GmbH on its acquisition of a majority interest in Australian health science consultancy Brandwood CKC.

Hall & Wilcox has advised leading international medical technology consultancy PharmaLex GmbH on its acquisition of a majority interest in Australian health science consultancy Brandwood CKC. PharmaLex is a portfolio company of elite German based private equity firm Auctus Capital Partners AG.

Hall & Wilcox advised on the due diligence, assisted with drafting and negotiating all transaction documents, and provided regulatory advice. The merger aligns with PharmaLex’s objective to strengthen its presence in Australia, New Zealand and the broader global markets of the Asia-Pacific region.

Corporate & Commercial Partner Oliver Jankowsky led the Hall & Wilcox team, supported by Senior Associate Chevi Levin and Lawyer David Holland. Corporate Partner Alison Choy Flannigan, who also leads the firm’s Health & Community industry group, provided guidance on regulatory matters, and Senior Associate Jeanette Lui assisted with the banking and financial services aspects of the transaction.

Commenting on the deal, Partner Oliver Jankowsky said: ‘We provided pragmatic advice to our client, who was represented by experienced M&A professionals from Auctus Capital Partners AG. This cross-border deal had some particular complexities, but we managed to complete the matter in the target timeframe.’

PharmaLex provides specialised services for the pharmaceutical, biotech and medical device industries to enable companies to maximise their development process and reduce their time to market. Brandwood CKC provides regulatory, technical, and commercial services for developers, manufacturers and suppliers of medical devices, diagnostics and pharmaceutical products. Brandwood CKC will continue to operate its current name before transitioning to PharmaLex later in the year.
