Corporate & Commercial

‘I am highly motivated by the challenges of transactional work. There is nothing more satisfying than helping clients close a deal.’

I work with: large corporates who are seeking to make strategic acquisitions, business owners who are looking to sell, parties seeking to establish joint ventures and companies seeking to raise private capital, across a wide range of sectors, including: professional services (including financial services/wealth); retail & FMCG (including food, beverage and agribusiness); manufacturing and logistics.

Major matters I’ve worked on: acted for the sellers of Victorian integrated construction materials business Dandy Premix on the $85 million sale of the business to Maas Group Holdings Limited; acted for Turi Foods in relation to its merger with a US-based global supplier of value added food products, OSI International Foods; acted for Bureau Veritas S.A and AsureQuality in respect of their joint venture and purchase of Dairy Technical Services, an Australian market leader in the provision of food testing services; acted for Sportingbet PLC on the A$183 million acquisition of ASX listing Centrebet International Limited by way of scheme of arrangement; and acted for a consortium of five leading industry superannuation funds on the sale by the consortium of their interests in Superpartners Pty Ltd (their jointly owned administrator).

Trends in my area: while there is some uncertainty as to what levels of M&A activity we are going to see in the immediate future, in my view there will still be great opportunities for businesses to make strategic acquisitions. However, we expect deals will undergo greater scrutiny, with purchasers increasing their due diligence focus in areas such as IT security, ESG (including greenwashing) and resilient supply chains.

My proudest achievement: joining the Hall & Wilcox partnership, and living and working in London.

Outside work you’ll find me: cooking and reading cookbooks.

If I wasn’t a lawyer, I would be: a cook and cookbook writer.
